Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Nexurift LLC ("PrompX," "we," "our," or "us") and govern your use of the PrompX web application, Chrome extension, desktop application, and iOS application (each a "Service" and collectively, the "Services"). By creating an account or using any Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

You must be at least 13 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@prompx.app if you suspect unauthorized use of your account.

3. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not (a) copy, modify, distribute, sell, or lease any part of the Services, (b) reverse engineer or attempt to extract source code, or (c) use the Services to build a competing product.

4. Your Content

You retain all ownership rights to the prompts, collections, tags, and other content you create or upload through the Services ("User Content"). You grant us a limited license to host, store, transmit, display, and process your User Content solely as necessary to provide the Services to you (for example, syncing prompts across your devices, generating shareable links you opt into, and creating backups).

You are solely responsible for your User Content and represent that you have all rights necessary to use it with the Services. You must not upload User Content that is illegal, infringing, defamatory, harmful, or otherwise violates these Terms.

5. Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual property, privacy, or other rights of others
• Upload malware, spam, or content intended to disrupt the Services
• Attempt to gain unauthorized access to the Services, other accounts, or our systems
• Use automated tools to scrape, harvest, or extract data from the Services beyond what our APIs permit
• Use the Services to generate or distribute content that is unlawful, harassing, or otherwise harmful

6. Subscriptions and Payments

6.1 Free and Paid Plans

PrompX offers a Free plan (up to 25 prompts) and a Pro plan (unlimited prompts plus version history and other Pro features). Pro is offered as an auto-renewing subscription on a monthly or yearly basis. Current pricing is shown in the Services and may vary by platform and region.

6.2 Web, Extension, and Desktop Subscriptions (Stripe)

On the web, browser extension, and desktop applications, payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You can cancel at any time from your account billing page; the cancellation takes effect at the end of the current billing period.

6.3 iOS Subscriptions (Apple In-App Purchase)

The PrompX iOS app offers Pro as an auto-renewable in-app subscription:

• Title: PrompX Pro
• Length: Monthly or yearly, depending on the plan you select
• Price: $2.99 per month or $24.99 per year (USD; local prices may vary by App Store region as displayed at the point of purchase)
• Auto-renewal: Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period
• Cancellation: Manage or cancel your subscription in Settings → Apple ID → Subscriptions on your iOS device. Cancellation takes effect at the end of the current period; no partial refunds are issued for unused time
• Payment: Charges are billed to your Apple ID account at confirmation of purchase

Apple's App Store and iTunes Services Terms also apply to purchases made through the iOS app.

6.4 Refunds

Refund requests for subscriptions purchased via Stripe are handled by us; contact support@prompx.app. Refund requests for subscriptions purchased through the App Store are handled by Apple under their refund policy.

7. Third-Party AI Providers

The Services include features that allow you to send your prompt content to third-party AI providers (such as OpenAI, Anthropic, Google, Meta, and Mistral) via OpenRouter, using an API key you provide. When you use these features, your prompt content is transmitted to and processed by the provider that owns the model you selected. We do not control how those providers use the data they receive; their own terms and privacy policies apply. The iOS app requires your explicit consent before any prompt content is transmitted.

8. Intellectual Property

The Services, including all software, designs, logos, and trademarks, are owned by Nexurift LLC and protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you, except for the limited license granted in Section 3.

9. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services if you violate these Terms or if we are required to do so by law. On termination, your license to use the Services ends. Sections that by their nature should survive termination (including 4, 8, 10, 11, and 12) will survive.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY USER CONTENT WILL BE SECURE OR NOT LOST.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXURIFT LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $50, WHICHEVER IS GREATER.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by notice within the Services. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

14. Apple-Required Terms (iOS App Only)

The following terms apply solely to your use of the PrompX iOS application downloaded from the Apple App Store. Where they conflict with the rest of these Terms, the following terms control with respect to the iOS app:

• Acknowledgement. These Terms are concluded between you and Nexurift LLC only, and not with Apple Inc. ("Apple"). Apple is not responsible for the iOS app or its content.
• Scope of License. The license granted to you for the iOS app is limited to a non-transferable license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance and Support. Nexurift LLC is solely responsible for providing any maintenance and support services for the iOS app. Apple has no obligation whatsoever to furnish any maintenance and support services.
• Warranty. Nexurift LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS app to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the iOS app.
• Product Claims. Nexurift LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS app or your possession and/or use of it, including (i) product liability claims, (ii) any claim that the iOS app fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual Property Rights. In the event of any third-party claim that the iOS app or your possession and use of the iOS app infringes that third party's intellectual property rights, Nexurift LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such infringement claim.
• Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Developer Name and Address. Questions, complaints, or claims with respect to the iOS app should be directed to: Nexurift LLC, support@prompx.app.
• Third-Party Terms of Agreement. You must comply with applicable third-party terms of agreement when using the iOS app (for example, your wireless data service agreement and the terms of any AI provider you use through OpenRouter).
• Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms with respect to the iOS app, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
